Terms and Conditions

This document/agreement/understanding is a computer-generated electronic record published in terms of Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (amended from time to time) read with Information Technology Act, 2000 (amended from time to time) and does not require any physical or digital signatures.
Acceptance of Terms
By accessing or using https://careerbanale.com/ (“Platform”), operated by the Company, which is defined below, (“Company,” “we,” “us”, “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms and conditions (“Terms”). If you do not agree, please refrain from using the Platform. These Terms form a legally binding agreement.
These Terms are provided in English. Translated versions are for convenience only; the English version governs. Users with disabilities may request accessible formats via support@careerbanale.com.
Definitions
“User”/“You”/“Your” refers to any individual or entity accessing the Platform.
“Franchise Partner” refers to a legal entity registered with the Company to operate under the CareerBanale brand via a separate Franchise Agreement with the Company.
“Services” means the educational, recruitment, counselling, and franchise-related services provided via the Platform.
Eligibility
The Platform is intended for
Individuals who are 18 years of age or older;
Legally registered entities authorized to operate as educational consultants or Franchise Partners;
Users located in jurisdictions where the Platform and its Services are lawfully available.
Account Registration and Security
You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the confidentiality of your credentials and are liable for all activities under your account. Notify us immediately at support@careerbanale.com in case of any unauthorized access or security breach.
As an intermediary as defined under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we reserve the right, but not the obligation, to review, monitor, and remove any content that we, in our sole discretion, deem unlawful, harmful, infringing, abusive, or otherwise in violation of these Terms or applicable laws. We also reserve the right to suspend or permanently disable access to the Platform for any User who is found to be a repeat infringer of intellectual property rights or other applicable legal provisions, or who consistently violates the integrity or lawful use of the Platform.
Permitted Use and Restrictions
You agree to access and use the Platform solely for lawful and legitimate purposes, including:
Genuine student recruitment and enrolment-related activities;
Educational counselling and advisory services;
Franchise-related inquiries or engagements in accordance with applicable agreements; and
Personal or internal business use in line with the Platform’s intended functionality.
All usage must comply with applicable laws, and these Terms.
Prohibited Conduct:
You shall not, directly or indirectly:
Engage in Misrepresentation or Fraud: Falsify identities, impersonate individuals or entities, or submit inaccurate information; or/and Mislead students, franchisees, or third parties using deceptive or unethical practices.
Disrupt Platform Functionality or Security: Scrape, crawl, mine, or harvest data from the Platform without express written consent; Hack, interfere with, or disable Platform operations or linked infrastructure; Introduce viruses, worms, malware, bots, or any harmful code.
Violate Intellectual Property or Third-Party Rights: Upload, post, or transmit content that infringes copyright, trademarks, or proprietary rights; Use the Platform to distribute pirated materials or unauthorized educational content.
Use the Platform for Unlawful or Unauthorized Purposes: Promote or engage in any illegal activity or conduct that could give rise to civil or criminal liability; Circumvent access restrictions or attempt unauthorized access to secured features or user data.
Resell, License, or Commercialize Platform Content: Republish, copy, modify, display, or exploit Platform materials or Services without express written permission.
Any breach of this Clause may result in suspension or termination of User access, and we reserve the right to take appropriate legal action.
Intellectual Property
All content, features, and functionality made available on the Platform, including but not limited to text, graphics, logos, icons, images, audio and video materials, user interface design, software code, branding elements, and trademarks, are the sole and exclusive property of CareerBanale.com (a brand operated by MSM Global Education Private Limited (the “Company”)) or its authorized licensors. These assets are protected by applicable intellectual property laws of India and international treaties, including copyright, trademark, trade secret, and other proprietary rights.
Unless expressly authorized in writing by the Company, you may not:
Copy, reproduce, download, republish, modify, edit, reverse-engineer, distribute, or transmit any part of the Platform or its content in any form or by any means;
Use any content for commercial purposes, including marketing, resale, or redistribution;
Frame, mirror, or deep-link to any page or component of the Platform;
Use Company trademarks, service marks, trade dress, or any similar marks in a way that may cause confusion or imply association without Company’s prior written consent.
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purposes expressly permitted under these Terms. This license does not include any rights to the underlying source code or proprietary algorithms.
Refunds
Refunds for fee-based Services offered on the Platform are governed by the nature of the Service availed and are subject to the Company’s internal review. For student Users, a refund may be considered only if the requested Service has not yet been initiated, delivered, or partially completed, or if there is a confirmed deficiency or error in Service delivery attributable solely to Company. For Franchise Partners, refund rights and obligations are governed strictly by the separate Franchise Agreement executed between the parties. Certain payments, including but not limited to registration fees, onboarding charges, administrative fees, document assessment fees, and government or statutory charges are strictly non-refundable under all circumstances. Any request for a refund must be submitted in writing to support@careerbanale.com within seven (7) calendar days from the date of payment and must include the User’s full name, registered email ID, transaction details, and a brief explanation with supporting documents, if applicable. The Company may, at its sole discretion, request additional information to process the claim. Approved refunds will be processed within fourteen (14) business days from the date of approval and credited via the original mode of payment, subject to applicable deductions including but not limited to administrative or third-party costs incurred. No refund will be issued for delays, rejections, or decisions made by third-party entities such as universities, visa offices, or governmental bodies, or where the user has breached the Terms or submitted false or incomplete information. The Company reserves the right to amend or revise this refund policy at its discretion, and such changes will become effective upon publication on the Platform.
Indemnity and Limitation of Liability
You agree to indemnify, defend, and hold harmless the Company its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, losses, liabilities, demands, damages, costs, expenses (including reasonable legal fees), or penalties arising out of or in connection with: (i) your use or misuse of the Platform or Services; (ii) any content or information submitted or transmitted by you; (iii) your breach of these Terms or any applicable law, regulation, or third-party rights; (iv) any fraudulent, negligent, or unlawful act committed by you; or (v) your violation of intellectual property, data privacy, or contractual rights of any third party. This indemnity obligation shall survive the termination or expiration of these Terms and your use of the Platform. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully in asserting any available defences.
While we endeavour to maintain uninterrupted access to the Platform and strive for 24/7 availability, the Platform is provided on an “as-is” and “as-available” basis without any express or implied warranties, including uptime guarantees. We shall not be liable for any inconvenience, loss, or damages arising from such interruptions. To the fullest extent permitted by applicable law, the Company, affiliates, directors, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to academic rejections, visa denials, delays by universities, government authorities, or other third-party service providers, or any loss of data or business interruption arising out of or in connection with your use or inability to use the Platform. We shall not be liable for any unavailability, downtime, system failure, data loss, or technical disruption resulting from scheduled maintenance, upgrades, internet outages, cyber incidents, or force majeure events. In any event, the total aggregate liability of the Company, whether arising in contract, tort (including negligence), strict liability, or otherwise, shall be limited to the lower of (i) the actual amount paid by you to the Company for the specific Service giving rise to the claim, or (ii) INR 10,000. This limitation applies notwithstanding any failure of essential purpose of any limited remedy. The Platform may integrate third-party services (e.g., payment gateways, university portals). We disclaim liability for their functionality, data practices, or terms. Users must review third-party policies independently.
Termination
We reserve the right, at our sole discretion, to suspend, restrict, or permanently terminate your access to the Platform or any part thereof, without prior notice, if: (i) you breach any provision of these Terms or any applicable law or regulation; (ii) you engage in fraud, impersonation, abuse, harassment, or activity deemed harmful to the integrity of the Platform or other users; or (iii) required by law enforcement, regulatory order, or judicial directive. Termination shall be without prejudice to any accrued rights or remedies available to the Company, including the right to seek injunctive relief, damages, or indemnity. Upon termination, your right to use the Platform shall cease immediately, and any provisions which by their nature survive termination shall remain in full force and effect.
Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. All disputes, claims, or controversies arising out of or in connection with these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, India.
Privacy Policy
The collection, use, disclosure, and storage of all personal data provided by Users are governed by our Privacy Policy. By accessing or using the Platform, you acknowledge that you have read, understood, and consent to the practices described in the Privacy Policy. You further agree to provide accurate, complete, and up-to-date information and to update such information as necessary to ensure its accuracy. If you do not agree with the terms of the Privacy Policy, you must immediately discontinue use of the Platform.
Force Majeure
The Company shall not be liable for delays/failures caused by events beyond reasonable control, including but not limited to: natural disasters, cyberattacks, government actions, or infrastructure failures.
Amendments
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. Any such changes shall become effective upon posting the revised Terms on the Platform. It is your responsibility to review these Terms periodically. Your continued access or use of the Platform after such modifications constitutes your binding acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Platform immediately.

Hierarchy of Agreements
In the event of any conflict or inconsistency between these Terms and any other specific agreement executed between the User and the Company (including but not limited to a Franchise Agreement), the terms of the specific agreement shall prevail to the extent of such conflict. These Terms shall continue to govern all areas not expressly addressed in the separate agreement.
Miscellaneous
These Terms, along with any applicable policies or agreements referenced herein, constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior communications or understandings, whether oral or written
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
No failure or delay by the Company in exercising any right under these Terms shall be deemed a waiver of that right or any other rights.
You may not assign or transfer your rights or obligations under these Terms without prior written consent of the Company. The Company may freely assign these Terms in the event of a merger, acquisition, or internal restructuring.
